NOTICE
Information Regarding 108th Annual General Meeting of the Club to be held through Video Conferencing (‘VC’)/ Other Audio Visual Means (‘OAVM’).
Notice is hereby given that 108th Annual General Meeting (“AGM”) of the Members of the Royal Western India Turf Club, Limited, (“the Club” / “RWITC”) will be held on Thursday, 21st September 2023 at 4.00 p.m. through Video Conferencing (“VC”) or Other Audio Visual Means (“OAVM”) to transact the business as detailed in the Notice of the AGM, in compliance with the provisions of Section 108 of Companies Act, 2013 read with Rule 20 of the Companies (Management and Administration) Rule, 2014 and Ministry of Corporate Affairs (MCA) General Circular No. 14/2020 dated 8th April 2020, General Circular No. 17/2020 dated 13th April 2020, General Circular No. 20/2020 dated 05th May,2020 and General Circular No. 10/2022 dated 28th December, 2022 (collectively referred to as “MCA Circulars”).
The Members are hereby informed that in compliance with the aforementioned MCA Circulars, the Notice of Virtual AGM along with Annual Report 2022-23 shall be only sent to all the Members through email, who have registered the same with the Club as of the date of this Notice.
All Members who have not registered / updated their email address and mobile phone number with the Club are requested to register / update the same by writing to the Club office with details of membership card / number and attaching a self-attested copy of PAN card / Aadhar Card at adm@rwitc.com
The Club shall subsequently after service of notice to the individual members upload the notice on its website, which can be viewed at: www.rwitc.com
Please note that Members who do not register their email addresses will not be able to receive Notice of AGM, Annual Report of Club etc. hence will not be able to participate in the Meeting or Vote through Electronic means. The details with regard to remote e-voting and voting process during proceedings of AGM and user ID for voting at the platform shall be provided along with the notice through email. The members can attend the Meeting through VC, and vote by following the instructions provided in the e-mail.
The facility for joining the meeting shall be kept open at least 15 minutes before the time scheduled, and shall not be closed till expiry of 15 minutes after such scheduled time.
